Nevada's zero state income tax, no capital gains tax, and business-friendly regulations have made Las Vegas a premier destination for investment professionals and wealthy individuals.

Las Vegas has emerged as a premier destination for investment professionals and wealthy individuals, driven by zero state income tax, no capital gains tax, and business-friendly regulations. Active business registrations in Nevada grew 7.4% year-over-year as of late 2025.
Approximately 158,000 Californians relocated to Nevada between 2020 and 2023, with California representing 43% of all inbound migration to the state. Most advisers making that move lack integrated CPA-legal guidance to structure compliance alongside financial optimization — that's the gap we fill.
We bring a dual perspective that most law firms cannot: the legal training of an attorney and the financial discipline of a CPA.
Every engagement is tailored to your situation. Below are the specific areas we cover.
Entity selection, investor eligibility analysis, Investment Company Act exemptions (3(c)(1) vs. 3(c)(7)), Limited Partnership Agreement drafting, Private Placement Memorandum preparation, and subscription agreements.
Nevada Securities Division registration, compliance manual drafting, cybersecurity policies, Form ADV updates, and SEC registration for advisers exceeding the $100M AUM threshold.
Identifying federal and state exemptions, filing Nevada blue sky notices, drafting PPMs, structuring secondary transactions, and advising on general solicitation under Rule 506(c).
For investors: Nevada securities fraud claims, FINRA arbitration, breach of fiduciary duty, and unauthorized trading claims. For advisers: Nevada Securities Division, SEC, and FINRA disciplinary defense.
A two-year statute of limitations for creditor challenges, with a clear-and-convincing-evidence standard required to challenge a transfer.
Transfer investment portfolios into a Nevada trust structure to eliminate state income tax on dividends, capital gains, and interest — trusts can persist for up to 365 years.
Speak with an attorney who is also a licensed CPA. Your consultation is free and confidential.
From your first call to long-term strategy, here is exactly what to expect when you work with us.
We review your fund structure, AUM, client base, and where you're currently registered or exposed.
We identify registration requirements, exemptions, and tax structuring opportunities specific to Nevada.
You receive a specific plan covering entity formation, registration, and any trust or asset protection structures.
We handle formation, filings, and compliance documentation, then stay on as regulations and your AUM change.

Full bio~$15,000 per year in state tax savings
For a California-based investor with a $2M portfolio, structuring assets inside a Nevada NING trust eliminated state income tax on dividends, capital gains, and interest — saving approximately $15,000 per year.
Past results do not guarantee future outcomes. Each case is unique and results depend on individual facts and circumstances.
Answers to the questions we hear most often about investment management.
It depends on your assets under management. If you manage less than $100 million and have more than five Nevada clients, you must register with the Nevada Securities Division under NRS 90.330 — not the SEC.
Generally no. Under NRS 90.345, investment advisers whose only Nevada clients are qualifying private funds may be exempt from Nevada licensing, provided they meet SEC reporting obligations.
A Nevada Incomplete Gift, Non-Grantor (NING) trust allows residents of high-tax states — particularly California and Washington — to hold investment portfolios inside a Nevada trust structure and eliminate state income tax on dividends, capital gains, interest, and royalties.
Under NRS 90.530, Nevada recognizes exempt transactions including private placements under federal Regulation D (Rules 504, 506(b), and 506(c)) and sales to accredited investors.
Under NRS 90.670, a claim must be filed within two years of discovery, with a five-year absolute cap from the date of the violation.
A 3(c)(1) fund can have up to 100 beneficial owners and is limited to accredited investors. A 3(c)(7) fund has no investor count limit but requires each investor to be a "qualified purchaser."
Nevada RIAs must maintain Form ADV (Parts 1, 2A, 2B), file annual updates within 90 days of fiscal year-end, and maintain a written compliance manual, code of ethics, cybersecurity policy, and business continuity plan.
